| About the Foundation |
|
|
During the past six years, under the leadership of Jim Minarik, the Directed Electronics Charitable Foundation has
raised more than one million dollars for charity. In 2001 following September 11, Directed quickly raised $113,000
and donated it to the United Way of New York’s September 11th fund. In 2002 the company had its first Charity Golf
Tournament and raised $115,000, which was donated to the Boys & Girls Club of Vista. In 2003 Directed’s second annual
Charity Golf Tournament raised $200,000 for the new Directed Electronics Charitable Foundation. Since 2003, the
Foundation has raised more than $1 million. Of this total, more than $500,000 has been disbursed to a number of
beneficiaries including the Boys & Girls Clubs of Vista, Oceanside, San Clemente and Temecula. In the past five years
the Directed Electronics Charitable Foundation has made it possible for these clubs to upgrade their facilities,
purchase supplies, and provide valuable guidance. This has made a real difference for thousands of children. The
Foundation’s goal is to build an endowment which will allow it to help disadvantaged youth for many years to come.

Mr. Minarik joined Directed in December 2000 as Chief Executive Officer. Mr. Minarik has over a twenty year track
record of successfully building sales and profits in the mobile electronics business. Prior to joining Directed, Mr.
Minarik was the CEO of Clarion Corporation of America, a $600 million business unit of the publicly traded and
Japan-based Clarion Company Limited. He is a recognized leader in the consumer electronics industry and is currently
serving both as a member of the Board of Industry Leaders of the Consumer Electronics Association (CEA) and as a
Governor of the Electronics Industry Association (EIA) Board. Mr. Minarik received both his Bachelors Degree and
Masters of Business Administration from the Pennsylvania State University.

| Rich Hirshberg, CFO, Directed Electronics Charitable Foundation |
|
|
Mr. Hirshberg joined Directed in March 2001 and oversees the Internal Audit and Compliance departments. Prior to
joining Directed, Mr. Hirshberg was CFO of McGaw, Inc., a $350 million pharmaceutical manufacturer based in Irvine,
California. Mr. Hirshberg is a Certified Public Accountant and spent over 11 years at Arthur Andersen & Co. in various
roles. Mr. Hirshberg holds a Bachelors Degree in Biology from Northwestern University and an MBA from Northwestern
University's Kellogg Graduate School of Management.
